1. Introduction

This Partner Policy ("Policy") outlines the terms, conditions, and expectations governing the relationship between [Shenzhen Kangxingyue Technology Co., Ltd.] ("Company") and its authorized distributors ("Partners"). This Policy is designed to ensure a mutually beneficial partnership while maintaining the highest standards of professionalism, integrity, and compliance with applicable laws.

By entering into a distribution agreement with the Company, Partners agree to abide by the terms set forth in this Policy, which may be amended from time to time at the Company's discretion.

2. Appointment and Authorization

2.1. Partners are appointed on a non-exclusive basis unless otherwise specified in a written agreement signed by both parties.

2.2. The Company grants Partners the right to purchase and resell its products within designated territories, subject to the terms of this Policy.

2.3. Partners shall not represent themselves as agents, employees, or legal representatives of the Company.

Note: Exclusive distribution rights may be granted based on market potential, Partner capabilities, and mutual agreement, with specific terms outlined in a separate agreement.

3. Partner Obligations

Partners agree to:

  • Actively promote and market the Company's products within their designated territories
  • Maintain adequate inventory levels to meet customer demand
  • Provide professional pre-sales and after-sales support to customers
  • Participate in required training programs on product knowledge and sales techniques
  • Submit regular sales reports and market intelligence as requested by the Company
  • Comply with all applicable laws and regulations in their territories
  • Protect and enhance the Company's brand reputation

4. Company Support

The Company will provide Partners with:

  • Competitive pricing and volume-based discounts
  • Product training and technical support
  • Marketing materials and co-op advertising support (subject to approval)
  • Access to product documentation and technical specifications
  • Timely processing of orders and shipments
  • Assistance with major account opportunities

5. Pricing and Payment Terms

5.1. The Company will provide Partners with a price list, which may be updated periodically with advance notice.

5.2. Partners are free to set their own resale prices. The Company may provide suggested retail prices but shall not dictate or control Partners' pricing decisions.

5.3. Standard payment terms are Net 30 days from the date of invoice, unless otherwise agreed in writing.

5.4. Volume-based discounts and promotional pricing may be offered at the Company's discretion.

Compliance Note: The Company complies with all applicable antitrust and competition laws. Partners are independent businesses that set their own resale prices.

6. Intellectual Property

6.1. Partners may use the Company's trademarks, logos, and marketing materials solely for the purpose of promoting and selling the Company's products.

6.2. Partners shall not register, attempt to register, or challenge the Company's intellectual property rights.

6.3. Upon termination of the partnership, Partners shall immediately cease using all Company intellectual property.

7. Confidentiality

7.1. Partners agree to maintain the confidentiality of all proprietary information provided by the Company, including pricing, product roadmaps, and business strategies.

7.2. This obligation of confidentiality shall survive the termination of the partnership.

8. Term and Termination

8.1. The partnership shall continue unless terminated by either party with 30 days' written notice.

8.2. The Company may terminate the partnership immediately for cause, including but not limited to:

  • Material breach of this Policy or the distribution agreement
  • Engagement in illegal or unethical business practices
  • Bankruptcy or insolvency of the Partner
  • Failure to meet minimum performance standards

9. Compliance with Laws

Partners shall comply with all applicable laws and regulations, including:

  • Antitrust and competition laws
  • Anti-bribery and anti-corruption laws (e.g., FCPA, UK Bribery Act)
  • Export control regulations
  • Data protection and privacy laws
  • Product safety and certification requirements

Important: Partners must avoid any activities that could be perceived as price-fixing, market allocation, or other anticompetitive practices. The Company maintains a zero-tolerance policy for bribery and corruption.

10. Limitation of Liability

10.1. The Company's total liability to Partners shall not exceed the amount paid by the Partner for products in the six months preceding the claim.

10.2. The Company shall not be liable for indirect, special, or consequential damages.

11. Governing Law and Dispute Resolution

11.1. This Policy shall be governed by the laws of [Your Country/State].

11.2. Any disputes arising from this Policy shall first be attempted to be resolved through good-faith negotiations.
